Solar thermal magazine RGS Energy Files a $200 Million Universal Shelf Registration Statement
LOUISVILLE, Colorado. RGS Energy (NASDAQ: RSOL), a nationwide leader of turnkey solar energy solutions for residential, commercial, and utility customers, has filed a Form S-3 universal shelf registration statement (the “Shelf Registration”) with the Securities and Exchange Commission. The Shelf Registration is intended to provide flexibility to publicly offer and sell from time to time up to $200 million debt securities, common stock, preferred stock, warrants and other securities or any combination of such securities.
The Shelf Registration must be declared effective by the SEC before any securities may be offered and sold. Following effectiveness of the Shelf Registration, RGS Energy may periodically offer the securities in amounts, at prices, and on terms to be announced when, and if, the securities are offered. RGS Energy presently has no intention to sell any securities and has not identified any specific use of proceeds which may become available if and when such securities are sold.
